Commercial Software License Agreement:

This Software License Agreement ("Agreement") is entered into by and between SIG Labs, and the individual or entity purchasing or using the software (hereinafter referred to as "Customer"), effective as of the date of purchase or installation of the software (the "Effective Date").

1. Grant of License:

1.1. Licensor hereby grants Customer a non-exclusive, non-transferable, revocable license to install and use one (1) copy of the software ("Software") solely on two machines owned or controlled by Customer.

1.2. This license is limited to personal or internal business use. Customer may not use the Software for commercial hosting, software-as-a-service (SaaS), or any purpose beyond the scope of this Agreement.

3.1. The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.

3.2. Any unauthorized use of the Software constitutes a violation of Licensor’s rights and may result in termination of this Agreement and legal action.

4. Term and Termination:

4.1. This Agreement shall remain in effect unless terminated as set forth herein.

4.2. Licensor may terminate this Agreement immediately if Customer breaches any term of this Agreement.

4.3. Upon termination, Customer shall immediately cease all use of the Software and destroy all copies in Customer’s possession or control.

5. Disclaimer of Warranties:

5.1. The Software is provided "AS IS" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

5.2. Licensor does not warrant that the Software will be error-free or uninterrupted, or that defects will be corrected.

6. Limitation of Liability:

6.1. To the maximum extent permitted by applicable law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to the use or inability to use the Software.

6.2. Licensor’s total liability for any claims under this Agreement shall not exceed the amount paid by Customer for the Software.

7. Governing Law:

7.1. This Agreement shall be governed by and construed in accordance with the laws of Belgium and the Philippines, without regard to its conflict of law principles.

8. Entire Agreement:

8.1. This Agreement constitutes the entire agreement between Licensor and Customer regarding the Software and supersedes all prior agreements, understandings, or representations, whether oral or written.

9. Amendments and Waivers:

9.1. This Agreement may only be amended or modified by a written agreement signed by both parties.

9.2. The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision.

10. Severability:

10.1. If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
